Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "your") and OverZero AI Inc., a corporation incorporated under the laws of Canada and headquartered in Toronto, Ontario ("OverZero", "we", "us", "our"), governing your use of DocsUnderstood and the website at docsunderstood.com (together, the "Service").

By using the Service, uploading a document, or completing a purchase, you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not use the Service.

1. The Service

DocsUnderstood is an automated tool that analyzes documents you upload and returns a written report by email. The Service uses third-party large language models and software-based heuristics to summarize, classify, and comment on the contents of those documents.

2. Eligibility

The Service is offered only to residents of the United States and Canada who are at least eighteen (18) years of age and able to enter into a binding contract. By using the Service you represent that you meet these requirements. The Service is not intended for and may not be used by children, and we do not knowingly collect information from anyone under 18.

3. No Accounts; One-Time Purchases

The Service does not require you to create an account. Each analysis is a separate, one-time transaction identified by the email address you provide at checkout. You are responsible for using an email address you control and for keeping your inbox secure. We are not responsible for analyses delivered to an address that you mistyped or that another person can read.

Because installations of the desktop application are not tied to a personal account, multiple people may share the same device. You are responsible for what is uploaded from your device.

4. NOT LEGAL ADVICE — IMPORTANT

THE SERVICE IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE. OVERZERO AI INC. IS NOT YOUR LAWYER, AND NO ATTORNEY-CLIENT, SOLICITOR-CLIENT, OR FIDUCIARY RELATIONSHIP IS CREATED BY YOUR USE OF THE SERVICE.

THE OUTPUT OF THE SERVICE IS GENERATED IN WHOLE OR IN PART BY ARTIFICIAL INTELLIGENCE. AI SYSTEMS CAN AND DO PRODUCE INACCURATE, INCOMPLETE, OR FABRICATED INFORMATION ("HALLUCINATIONS"). REPORTS MAY MISCHARACTERIZE, OMIT, OR MISUNDERSTAND TERMS IN YOUR DOCUMENT.

DO NOT RELY ON THE SERVICE TO MAKE LEGAL, FINANCIAL, MEDICAL, EMPLOYMENT, IMMIGRATION, TAX, OR OTHER CONSEQUENTIAL DECISIONS. ALWAYS CONSULT A LICENSED LAWYER OR OTHER APPROPRIATE PROFESSIONAL BEFORE SIGNING ANY CONTRACT OR ACTING ON ANY DOCUMENT YOU SUBMIT TO THE SERVICE.

5. Your Documents and Your Warranties

You retain ownership of any document you upload ("Your Content"). You grant OverZero a limited, non-exclusive, worldwide, royalty-free licence to host, copy, transmit, process, and display Your Content solely to operate the Service for you and to deliver your report.

You represent and warrant that:

  1. you own Your Content or are otherwise entitled to upload it and have it analyzed;
  2. uploading Your Content does not violate any contract, court order, confidentiality obligation, or applicable law;
  3. Your Content does not infringe any intellectual property, privacy, publicity, or other right of any third party; and
  4. you have obtained any consents required from any third party whose personal information appears in Your Content.

You agree to defend, indemnify, and hold harmless OverZero and its directors, officers, employees, and contractors from any claim, demand, loss, or damages arising out of a breach of these warranties.

6. Acceptable Use

You agree not to use the Service to:

  • upload material you have no right to upload;
  • upload material whose content is illegal, infringing, defamatory, or designed to deceive;
  • attempt to reverse-engineer the Service, scrape it, probe it for vulnerabilities, or interfere with its operation;
  • use the Service to build, train, or benchmark a competing product;
  • circumvent any rate limit, paywall, or access control; or
  • use the Service in any way that violates applicable Canadian or United States law.

We may suspend or refuse service for suspected violations of this Section.

7. Payments and Refunds

Purchases are processed by Stripe. By submitting payment information you agree to Stripe's terms. Prices are shown at checkout in the listed currency and exclude any taxes or fees that may apply in your jurisdiction.

Refund policy. All sales are final, except that we will refund the purchase price if the Service fails to deliver a report due to a technical error on our side. To request a refund, email hello@docsunderstood.com from the address you used at checkout, within thirty (30) days of purchase, describing the failure. Refunds are issued back to the original payment method. We do not issue refunds because you disagree with the substance of a report, because the report failed to identify something you believe it should have, or because you changed your mind after delivery.

8. Service Availability; No Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, whether express, implied, statutory, or otherwise, to the maximum extent permitted by applicable law. Without limiting the foregoing, we expressly disclaim all warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and any warranty arising out of course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any defect will be corrected. Reports may contain errors. You use the Service at your own risk.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Excluded damages. In no event will OverZero or its directors, officers, employees, or contractors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or anticipated savings, however caused and on any theory of liability, arising out of or related to the Service or these Terms, even if OverZero has been advised of the possibility of such damages.
  • Cap on direct damages. OverZero's total cumulative liability arising out of or related to the Service or these Terms will not exceed the greater of (a) the amount you actually paid OverZero for the specific transaction giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).
  • Basis of the bargain. You acknowledge that the price of the Service reflects this allocation of risk and that, but for these limitations, OverZero would not provide the Service.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the smallest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless OverZero and its directors, officers, employees, and contractors from any third-party claim, demand, loss, liability, damages, judgments, and costs (including reasonable legal fees) arising out of (a) Your Content, (b) your use of the Service, (c) your breach of these Terms, or (d) your violation of any law or any third-party right.

11. Intellectual Property

The Service, including its software, design, copy, brand names, and logos, is owned by OverZero or its licensors and is protected by copyright, trademark, and other laws. Except for the limited right to receive and use your own report for your personal or internal business purposes, these Terms grant you no rights in the Service.

12. Third-Party Services

The Service relies on third parties to function, including Stripe (payments), Neon (database hosting), DeepInfra (large language model inference), and Resend (email delivery). Their handling of your data is described in our Privacy Policy. We are not responsible for the acts or omissions of any third party.

13. Changes to the Service or These Terms

We may modify, suspend, or discontinue the Service, or any part of it, at any time. We may also update these Terms from time to time. If we make a material change, we will update the "Last updated" date above and, where practicable, post notice on docsunderstood.com. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You and OverZero submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for any dispute arising out of or related to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

If you are a consumer resident in the United States, nothing in this Section deprives you of the protection of any mandatory consumer-protection law of the state in which you reside.

15. Termination

You may stop using the Service at any time. We may suspend or terminate your access immediately, without notice, if we reasonably believe you have violated these Terms or that your use poses a security, legal, or reputational risk. Sections that by their nature should survive termination — including Sections 4, 5, 8, 9, 10, 11, 14, and 16 — will survive.

16. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and OverZero regarding the Service and supersede any prior agreements.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Notices to you may be sent to the email address you provided at checkout. Notices to us must be sent to hello@docsunderstood.com.
